Terms & Conditions of Service

1. Acceptance of Terms

By registering an account on WaSellio, creating a digital storefront, using our digital business cards, or interacting with our public seller tools (including the Fraud Shield, Currency Converter, and Invoice Generator), you confirm that you have read, understood, and agreed to be bound by all the provisions of this Agreement.

If you do not agree with any part of these terms, you must immediately cease all access to the platform and refrain from registering or creating storefronts.

2. Eligibility & Account Integrity

1. Age Requirement: You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to create an account or operate a merchant store on WaSellio.
2. Accurate Information: Merchants must provide truthful, current, and complete business details, including a valid WhatsApp telephone number, functional business email, and legitimate store name.
3. Account Security: You are solely responsible for safeguarding your login credentials. Any activity, store modifications, or orders generated under your account credentials are your legal responsibility. You agree to notify us immediately at [email protected] upon suspecting unauthorized account access.

3. Scope of Service & Role of WaSellio

WaSellio is a Software-as-a-Service (SaaS) technology infrastructure that provides digital product catalog creation, order formatting, customer contact exchange, and seller intelligence utilities.

• Independent Transactions: WaSellio provides the technical bridge connecting sellers and buyers via WhatsApp. Unless explicitly stated in custom settlement agreements, Dantops Technology Enterprise is not a party to the commercial transaction between the merchant and the end buyer.
• Merchant Fulfillment Responsibility: Merchants bear 100% legal responsibility for product quality, delivery accuracy, customer service, return policies, warranty representations, and compliance with local commercial laws.
• No Endorsement: The display of any store, product, or brand on WaSellio does not constitute an endorsement, guarantee, or warranty by Dantops Technology Enterprise.

4. Prohibited Uses & Anti-Fraud Policy

Dantops Technology Enterprise maintains zero tolerance for illicit commercial activities, consumer exploitation, and cybercrime. You strictly agree NOT to use WaSellio to display, sell, or facilitate:

• Firearms, ammunition, explosive items, or weapons of any description.
• Narcotics, illegal drugs, controlled prescription medications, or drug paraphernalia.
• Counterfeit merchandise, pirated digital media, or intellectual property infringements.
• Ponzi schemes, multi-level marketing (MLM) pyramid scams, or fraudulent high-yield investment schemes.
• Adult content, escort services, or non-consensual exploitative media.
• Stolen property, hacked digital accounts, or carding dumps.
• Fabricated banking transaction receipts or misleading financial representations.

Enforcement: Dantops Technology Enterprise reserves the unconditional right to suspend, terminate, or permanently purge any store, account, or IP address that violates this section, without prior notice or refund, and will cooperate fully with law enforcement agencies (including the EFCC, Nigeria Police Force, and INTERPOL).

5. Subscription Plans, Billing, & Cancellations

1. Free Tier: WaSellio offers a generous free tier subject to published system limits (such as product counts, monthly orders, and monthly broadcast allowances). We reserve the right to reasonably adjust free tier quotas to maintain network health.
2. Paid Plans (Pro & Business): Upgrades to Pro or Business tiers are billed in advance on a recurring monthly, quarterly, or annual basis.
3. Payment Processors: Subscription fees are processed through licensed payment partners (including Paystack, Flutterwave, and authorized banking channels). By subscribing, you authorize our recurring billing system or manual renewal reminders.
4. Refund Policy: Because our software provisions server resources and unlocks premium features instantly upon payment, subscription fees are generally non-refundable once an active billing cycle has commenced. If you experience technical downtime attributable solely to WaSellio lasting more than 72 consecutive hours, you may request a pro-rated account credit.

6. Seller Intelligence Tools & Fraud Shield Disclaimer

WaSellio provides public and merchant tools, including the Fraud Shield (Fake Receipt & Transfer Forensics Checker), Global FX Currency Converter, and Invoice Generator:

• Informational & Forensic Assistance: The Fraud Shield and its Error Level Analysis (ELA) algorithms are assistive forensic indicators provided to help vendors identify suspicious pixel quantization anomalies and malformed NIBSS session IDs.
• Strict Ledger Confirmation Required: No digital tool can substitute for checking your physical bank ledger. Merchants must never dispatch goods solely based on a third-party receipt verification score. Merchants must always verify that cash has cleared into their physical bank account before releasing parcels.
• No Financial Liability: Dantops Technology Enterprise accepts no legal liability for any merchant delivery losses, reversed bank transfers, or banking delays resulting from transactions processed off-platform.

7. Intellectual Property Rights

1. WaSellio Property: All software code, user interface designs, logos, graphics, icons, algorithms, databases, domain names, and trademarks associated with WaSellio are the sole and exclusive intellectual property of Dantops Technology Enterprise.
2. Merchant Content License: Merchants retain full copyright and ownership of the product photos, logos, and descriptions they upload. By uploading content, you grant Dantops Technology Enterprise a non-exclusive, worldwide, royalty-free license to host, display, and format your content for the sole purpose of operating your storefront.

8. Third-Party Integrations & WhatsApp Disclaimer

WaSellio interfaces with third-party software and APIs, including WhatsApp (operated by Meta Platforms, Inc.), courier aggregators, and payment gateways:

9. Limitation of Liability

To the maximum extent permitted by applicable law, Dantops Technology Enterprise, its founders, directors, employees, and agents shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, loss of data, loss of business goodwill, or service interruptions.

In no event shall our total aggregate liability arising out of or related to your use of WaSellio exceed the total fees paid by you to Dantops Technology Enterprise in the three (3) months immediately preceding the event giving rise to liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dantops Technology Enterprise, its officers, contractors, and partners from and against any claims, liabilities, damages, losses, or legal costs arising from:

• Your violation of any provision of this Agreement;
• The goods, services, or representations offered through your WaSellio storefront;
• Any consumer dispute, warranty claim, or delivery failure between you and your end customers;
• Your infringement of any third party's intellectual property or privacy rights.

11. Governing Law & Dispute Resolution

This Agreement shall be governed by, interpreted, and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

In the event of any controversy, claim, or dispute arising out of or relating to this Agreement, the parties agree to first attempt in good faith to resolve the dispute through direct, amicable commercial negotiation for a period of thirty (30) days.

If the dispute cannot be settled amicably, it shall be submitted to the exclusive jurisdiction of the competent courts sitting in Lagos State, Nigeria.
